  • A full-service law firm providing legal advice to UK and international businesses, as well as individuals and families, is seeking the above to be responsible for supporting solicitors with legal documentation, due diligence, legal research, contract reviews, transaction management, and client matters. The successful candidate will gain valuable exposure to commercial contracts, mergers and acquisitions, corporate reorganizations, construction projects, outsourcing arrangements, and cross-border transactions.

Minimum requirements for the role

  • A Law Degree/Law Conversion qualification would be highly advantageous
  • Minimum 2 years' experience as a Paralegal, Legal Assistant, or within a Legal Support Environment
  • Previous experience within a corporate, commercial, or business law environment is advantageous
  • Experience in reviewing commercial contracts and legal documentation, as well as supporting corporate transactions and due diligence processes, is desirable
  • Strong interest in commercial and corporate law
  • Understanding of Companies House procedures and corporate documentation is advantageous
  • Ability to manage multiple matters, priorities, and deadlines effectively
  • Ability to work independently while contributing effectively within a team, coupled with a professional, proactive, and client-focused approach
  • Must possess excellent communication skills, strong organizational and time-management abilities, and a high level of accuracy and attention to detail
  • Experience with construction-related legal documentation is desirable
  • Must have strong legal research and analytical skills
  • Good understanding of Microsoft Office applications
  • Previous UK legal experience would be advantageous

The successful candidate will be responsible for

  • Assisting solicitors with commercial and construction transactions, including mergers and acquisitions, corporate reorganisations, business disposals, and construction-related projects.
  • Supporting the preparation and management of transaction documentation, corporate records, board minutes, shareholder resolutions, completion checklists, and Companies House filings.
  • Assisting with transaction execution, completion processes, and post-completion filing requirements.
  • Supporting solicitors on outsourcing projects and wider commercial arrangements.
  • Maintaining transaction data rooms and ensuring documentation is accurately organised and accessible.
  • Supporting legal due diligence exercises by reviewing and organising relevant documentation.
  • Preparing due diligence reports, schedules, and summaries.
  • Identifying potential issues, risks, or areas requiring further investigation and escalating these to supervising solicitors.
  • Assisting with the collection and review of information required for corporate and commercial transactions.
  • Drafting and amending straightforward commercial contracts and ancillary documents under supervision.
  • Assisting with documents including supplier agreements, confidentiality agreements, terms and conditions, distribution agreements, and licensing agreements.
  • Reviewing commercial contracts and preparing clear summaries of key terms, obligations, risks, renewal provisions, and other important contractual considerations.
  • Supporting solicitors with contract management and client queries relating to commercial agreements.
  • Assisting with construction-related matters and transactions.
  • Preparing first drafts of construction documentation under supervision, including JCT and NEC contracts, collateral warranties, consultant appointments, and subcontract agreements.
  • Reviewing construction contracts and preparing summaries of contractual obligations, payment provisions, programme requirements, and risk allocation.
  • Assisting solicitors with the collation and review of construction project documentation.
  • Conducting legal and commercial research to support client matters.
  • Researching relevant legislation, case law, regulatory requirements, and commercial issues as directed by supervising solicitors.
  • Assisting with cross-border transactions and matters involving regulated sectors.
  • Preparing background information and research summaries for solicitors and partners.
  • Liaising professionally with clients, contractors, consultants, counterparties, and other professional advisers to obtain information and documentation.
  • Preparing client correspondence and routine matter updates.
  • Attending client meetings, transaction calls, and internal meetings where required.
  • Taking accurate meeting notes and preparing action lists to support effective matter management.
  • Maintaining a professional, responsive, and client-focused approach at all times.
  • Maintaining accurate and up-to-date client files and legal documentation.
  • Ensuring records are stored securely and in accordance with firm policies and regulatory requirements.
  • Coordinating document signing and execution processes.
  • Maintaining precedent documents, know-how resources, and legal updates within the Commercial team.
  • Assisting with the preparation of legal articles, client updates, and other business development materials.
  • Supporting solicitors and partners on larger transactions while taking responsibility for routine tasks and smaller matters appropriate to experience and competence.
  • Working collaboratively with colleagues across the firm to ensure matters progress efficiently and deadlines are met.
  • Complying with all firm policies, procedures, SRA requirements, and professional obligations.
