Description

Hire Resolve's Client is currently looking for an experienced Company Secretary - Legal to join their mining company based in Gauteng. You will be responsible for supporting company secretarial, corporate governance, statutory compliance and regulatory administration while assisting with effective Board and governance processes.

Coordinate and administer Board and Committee meetings.
Prepare agendas, Board packs and supporting documentation.
Draft minutes, resolutions and action registers.
Monitor and follow up on Board and Committee actions and decisions.
Maintain confidential Board and governance records.
Provide support on corporate governance frameworks and governance policies.
Maintain statutory registers and company records.
Coordinate statutory filings and submissions with relevant regulatory authorities.
Monitor compliance with applicable legislation and regulatory requirements.
Assist with FICA, KYC and trust administration requirements.
Support ethics, anti-corruption, risk and compliance initiatives.
Assist with internal and external audits and governance reviews.
Manage relationships with relevant regulators and stakeholders.
Coordinate documentation and submissions relating to prospecting and mining rights.
Maintain registers and track applications, appeals and regulatory requirements.

Grade 12
LLB Bachelor of Laws
CGISA qualification completed or in progress
Minimum 3 years' relevant experience in company secretarial, legal, governance or compliance roles
Proven experience within the mining environment
Sound knowledge of the Companies Act, King IV™ and corporate governance principles
Hands-on experience with CIPC systems and statutory filings
Practical exposure to mining legislation, including the MPRDA
